App Terms of Use and Software Licence
Linkforge Pty Ltd
ABN: 35 670 457 637
Publication date: 8 September 2026
Effective date: 8 September 2026
These terms apply to Linkforge software apps, including extensions, add-ons, modules, utilities and hosted applications, where the applicable listing, documentation or order refers to these terms.
1. Agreement and acceptance
1.1 These App Terms of Use and Software Licence (Terms) are an agreement between Linkforge Pty Ltd (Linkforge, we, us or our) and the person or organisation that obtains or uses the App (you or your).
1.2 You accept these Terms by clicking to accept them, accepting an Order that incorporates them, or installing or using the App after these Terms have been made available to you and you have been told that they apply.
1.3 If you accept these Terms on behalf of an organisation, you must have authority to bind that organisation. The organisation is responsible for its Authorised Users' use of the App.
1.4 These Terms apply to the App identified in the relevant App Details or Order. Requirements relating to a particular platform, subscription, hosted feature or third-party service apply only where the App uses or requires it.
1.5 A signed agreement between the parties takes priority over these Terms. An accepted Order or additional app-specific terms take priority to the extent they expressly vary these Terms. App Details identify the functionality, requirements and limits of the App and must be read together with these Terms. A later documentation change does not, by itself, override an agreed commercial term. Changes are governed by clause 17, and all terms remain subject to clause 12.1.
1.6 Consulting, implementation, custom development and other professional services are governed by their separately agreed scope and commercial terms. These Terms do not, by themselves, require either party to undertake or purchase that work.
2. Definitions
| Term | Meaning |
|---|---|
| App | A software application, extension, add-on, module, utility or hosted application supplied by Linkforge under these Terms, including its documentation and updates. |
| App Details | The description, supported platforms and versions, prerequisites, features, usage limits, support arrangements and any additional app-specific terms made available in the App's listing, documentation or Order. |
| Authorised Users | Your employees, contractors and service providers whom you authorise to use or administer the App on your behalf for your internal business purposes. |
| Customer Data | Records, files, content, transactions, configuration and other information supplied by you or processed through your use of the App. Information does not cease to be Customer Data merely because it appears in a log, diagnostic record or support request. Customer Data does not include Linkforge's software or documentation. |
| Fees | The agreed licence, subscription, usage, support or other charges for the App and related services, as set out in the applicable Order or App Details. |
| Licence Term | The period for which you are entitled to use the App, whether a subscription period, trial period or perpetual licence expressly identified in the Order or App Details. |
| Order | An order form, quotation, marketplace purchase, subscription or other written commercial arrangement accepted by you and Linkforge, including purchases through an authorised reseller or marketplace. |
| Platform | The operating system, device, business application, tenant or hosting environment on which the App runs, where applicable. Microsoft Dynamics 365 Business Central is one example of a Platform. |
| Third-Party Service | A service, application, API, account or other system supplied by a third party that the App uses, connects to or depends on. |
3. Licence and permitted use
3.1 Subject to these Terms and payment of applicable Fees, Linkforge grants you a non-exclusive licence to install, access and use the App during the Licence Term for your internal business purposes, within the limits stated in the App Details or Order.
3.2 Authorised Users may use and administer the App on your behalf. You must take reasonable steps to ensure that they comply with these Terms and that their access remains appropriate. Your service providers may assist with your use of the App; this does not give them a right to resell or use your licence for other customers.
3.3 Unless expressly permitted by the Order, App Details, an applicable open-source licence or law, you must not:
- copy, modify or distribute the App, except for installation, configuration and backup copies reasonably necessary for your authorised use;
- sell, resell, rent, sublicense or otherwise commercially supply the App to another person;
- reverse engineer, decompile or disassemble the App, or attempt to obtain its source code;
- bypass licence checks, security controls or usage limits;
- remove or obscure proprietary notices; or
- use the App unlawfully, infringe another person's rights or interfere with the security or operation of the App or another system.
3.4 Rights to resell the App, supply it as part of a managed service, or use it for multiple unrelated customers require a separate written arrangement with Linkforge.
3.5 A subscription or trial licence lasts for its stated term. A perpetual licence, where expressly supplied, permits continued use of the licensed version subject to these Terms; ongoing support, hosted services and future versions are included only to the extent stated in the Order or App Details. A licence may be suspended or terminated only as provided in these Terms or an applicable agreement.
3.6 If a free App has no stated end date, its licence continues until ended under these Terms.
4. Availability, installation and platform requirements
4.1 The App may be supplied through Microsoft AppSource, another marketplace, a direct download, a hosted service or another distribution method approved by Linkforge.
4.2 The App Details identify the relevant functionality, supported Platforms and versions, prerequisites and usage limits. You are responsible for obtaining and maintaining the accounts, licences, permissions, devices and configuration identified as your responsibility.
4.3 Installation at no charge does not necessarily include every feature or ongoing use. Any requirement for a paid licence, subscription, implementation service or third-party account must be identified in the App Details or Order before the relevant charge is incurred.
4.4 Your use of a Platform, marketplace or Third-Party Service is also subject to your agreement with its provider. Linkforge remains responsible for its own obligations under these Terms, but does not control services provided independently by those providers.
4.5 An App intended for a specific Platform does not include a licence to that Platform. For example, a Business Central extension does not include a Microsoft Business Central licence.
5. Fees, subscriptions, trials and cancellation
5.1 You must pay the Fees, at the times and by the methods stated in the Order or App Details. Unless otherwise stated, Fees are payable in advance and exclude GST and other applicable taxes, which will be identified when charged.
5.2 A subscription renews automatically only where the renewal arrangement has been disclosed to and accepted by you. The subscription period, renewal date and any cancellation notice period must be stated in the Order, App Details or marketplace purchase process. If no cancellation notice period is stated, you may cancel at any time before renewal.
5.3 You may cancel a subscription using the relevant marketplace or account process, or by contacting Linkforge under clause 18.5 where Linkforge manages the subscription. Cancellation normally takes effect at the end of the current paid term. This does not limit an earlier termination or refund right under these Terms or law.
5.4 Linkforge may change Fees for a future renewal by giving at least 30 days' notice and sufficient time to cancel before the new Fees apply. Fees for an agreed current term will not change without your agreement, except for changes to applicable taxes. You may decline a renewal at the changed price.
5.5 Fees for a period already supplied are not refundable merely because you change your mind. Refunds remain available where required by law or provided for in these Terms or the Order. Nothing in this clause limits clause 12.1.
5.6 Free, trial, beta and evaluation access may have limits on duration, users, environments, features or usage. Those limits will be stated in the App Details. Linkforge may end or change such access on reasonable notice, with shorter notice where reasonably necessary for security or legal reasons. A free trial does not become a paid subscription unless you have agreed to the paid arrangement.
5.7 You are responsible for charges imposed under your arrangements with Platform and Third-Party Service providers. Linkforge does not set or control those charges unless expressly stated in the Order.
5.8 If you dispute an invoice, notify Linkforge promptly with the reasons and pay any undisputed amount when due. Linkforge will work with you to resolve the dispute. Suspension for non-payment is subject to clause 15.
6. Your responsibilities
6.1 You are responsible for using the App in accordance with its documentation and for your own business decisions, approvals and operating procedures.
6.2 You must take reasonable steps to:
- assess the App against your requirements and test relevant workflows before relying on it in production;
- keep the data, configuration and instructions you supply accurate and current;
- review business-critical outputs, reports and transactions using controls appropriate to your operations;
- maintain required permissions, licences, accounts and authorisations;
- protect credentials and manage user access and security settings under your control;
- protect and back up data where that responsibility falls to you under your Platform arrangements;
- comply with applicable law and relevant Platform and Third-Party Service terms; and
- notify Linkforge promptly of reproducible defects, suspected unauthorised access or material errors affecting the App.
6.3 Do not send Linkforge passwords, private keys, production records or unnecessary personal information through ordinary support channels. Where access to your environment or data is needed, the parties must agree an appropriate method under clause 9.
6.4 These responsibilities do not relieve Linkforge of its obligations or responsibility for defects or loss that it causes.
7. Third-party services and optional connections
7.1 This clause applies only where the App uses, connects to or depends on a Third-Party Service. Such connections are governed by the App Details and the data-handling requirements in clause 9.
7.2 You are responsible for the third-party accounts, permissions, credentials and configuration identified as your responsibility in the App Details. A connection must be used only for purposes you are authorised to carry out.
7.3 Third-party providers may change their services, availability, prices, interfaces, access rules or processing requirements. Linkforge is not responsible for a failure or loss to the extent caused by those matters outside its reasonable control, except to the extent Linkforge's own breach, negligence or failure to perform an agreed obligation causes or contributes to the failure or loss.
7.4 Linkforge may make changes reasonably necessary to respond to a third-party change, security issue or legal requirement. Where practicable, Linkforge will give advance notice of changes that materially affect functionality and will take reasonable steps to minimise disruption. If an essential paid feature cannot continue, clause 15.5 applies.
7.5 Information received from a third party may require verification before use in a business-critical decision or transaction. This does not exclude Linkforge's responsibility for correctly performing the functionality it has agreed to supply.
8. Support, updates and maintenance
8.1 Support is provided as described in the App Details or Order. If no separate support arrangement applies, Linkforge will use reasonable efforts to assist with installation questions and reproducible App defects through the support channels below. No particular response or resolution time is guaranteed unless expressly agreed, subject to clause 12.1.
8.2 Standard support is available during Linkforge's normal business hours in Victoria, Australia, excluding Victorian and Australian national public holidays. Requests can be submitted to support@linkforge.com.au, through the website contact page, or through a support channel identified in the App Details.
8.3 Support requests should describe the problem, the App and Platform versions, steps to reproduce it, and the operational impact. Provide redacted screenshots or logs where useful. Linkforge may request reasonable access or assistance under clause 9 to investigate.
8.4 Unless included in the Order, support does not include training, implementation, custom development, data migration, configuration redesign, data correction, transaction reprocessing or support for unrelated third-party products. Linkforge will identify any proposed chargeable work and obtain your agreement before carrying it out at your cost. This does not make you responsible for costs that Linkforge must bear under these Terms or law.
8.5 Linkforge may provide fixes, security patches, compatibility updates and new versions. Linkforge may reasonably require a supported version, relevant update or correction of an unsupported configuration before investigating a problem affected by that issue. Updates form part of the App and are subject to these Terms.
8.6 Planned maintenance and changes affecting availability will be communicated with reasonable notice where practicable. Urgent security or service-restoration work may require shorter notice. Material reductions in paid functionality and discontinuation are subject to clause 15.5.
9. Customer Data and privacy
9.1 You retain ownership of Customer Data. These Terms do not transfer ownership of Customer Data to Linkforge or give Linkforge a general right to collect your production records or use them for unrelated analytics, benchmarking or product development.
9.2 Linkforge handles personal information in accordance with its Privacy Policy and any additional privacy notice expressly applicable to the App. App Details must describe any App-specific data processing. These Terms do not, by themselves, authorise processing that is inconsistent with those notices.
9.3 For Apps operating within your Business Central tenant under the current Privacy Policy, Customer Data remains in that tenant and is not transmitted to or separately retained by Linkforge. The App does not send that data to a Linkforge-controlled database or external service. Microsoft may separately process Platform information under your Microsoft arrangements.
9.4 Where an App is designed to process Customer Data outside your environment, use a hosted service or transmit data to a third party, Linkforge must describe the data involved, recipients, purposes and relevant storage arrangements in the App Details and update or supplement the applicable Privacy Policy before that processing begins. Required notices, permissions and agreements must be in place before the feature is enabled. The inclusion of third-party service clauses in these Terms does not itself authorise an external data transfer.
9.5 Support should use customer-controlled screen sharing, temporary authorised access and the minimum information reasonably necessary to resolve the issue. If Linkforge needs to receive or retain Customer Data separately, the parties must first agree the purpose, transfer method, security, access and deletion arrangements. Linkforge may use that information only for the agreed purpose and any handling required by law.
9.6 These Terms do not provide standing permission for Linkforge-controlled telemetry or automatic collection of customer records. Any such processing must first be accurately described in the applicable Privacy Policy and App Details. Information you provide for support, such as App versions, error descriptions and non-data configuration details, is handled in accordance with that policy. Linkforge does not sell Customer Data or personal information.
9.7 Each party must comply with applicable privacy obligations for information it controls. You are responsible for having authority to use Customer Data and to grant any agreed support access. Linkforge is responsible for reasonable security safeguards for information it receives, limiting access to authorised personnel and service providers, and retaining it only for the agreed purpose and applicable legal or record-keeping requirements.
9.8 If Linkforge processes personal information on your behalf outside your environment, the parties must agree any additional data-processing terms needed for that arrangement, including service providers and processing locations. Linkforge will notify you without undue delay after becoming aware of a personal information breach affecting Customer Data it holds or processes on your behalf, and provide reasonable available information to assist your response.
9.9 When separately held Customer Data is no longer needed for its agreed purpose, Linkforge will delete or return it as agreed, subject to applicable legal, security and backup-retention requirements. Information retained for those limited reasons remains protected and may not be used for unrelated purposes. Your own Platform records remain subject to your Platform arrangements and settings.
10. Confidentiality
10.1 Each party must protect the other's non-public business, technical, financial, customer, security and other information that is identified as confidential or would reasonably be understood to be confidential (Confidential Information).
10.2 Confidential Information may be used only to perform obligations or exercise rights under the parties' arrangements. It may be disclosed to personnel, professional advisers and service providers who need it for that purpose and are subject to appropriate confidentiality obligations. Customer Data is also subject to clause 9.
10.3 Confidential Information does not include information that is publicly available without breach, independently developed without using the other party's Confidential Information, or lawfully obtained from another source without a duty of confidence.
10.4 A party may disclose information where required by law, court order or regulator. Where lawful and practicable, it must give the other party advance notice and limit the disclosure to what is required.
11. Intellectual property
11.1 Linkforge and its licensors retain ownership of the App, its source and object code, documentation, designs and other intellectual property supplied by them. You receive the licence rights stated in these Terms and any rights expressly granted in the Order.
11.2 Rights in Customer Data remain with you. Any separately agreed ownership arrangements for custom development are governed by the relevant written agreement.
11.3 Linkforge may use feedback and suggestions you voluntarily provide to improve its products and services, without paying a fee, provided it does not disclose your Confidential Information or use Customer Data contrary to clause 9.
11.4 Third-party and open-source components may have their own licence terms. Those terms apply to the relevant components and will be identified or made available where required. These Terms do not restrict rights granted under those component licences.
12. Warranties and rights that cannot be excluded
12.1 Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. All exclusions, limitations, payment provisions and remedies in these Terms are subject to this clause. A contractual remedy described below does not replace a remedy available under applicable law.
12.2 Linkforge warrants that it has the right to grant the licence in clause 3. For paid Apps, Linkforge will use reasonable care and skill in providing its services and reasonable commercial efforts to ensure the App substantially conforms to its published documentation in material respects.
12.3 If an App materially fails to conform to the agreed functionality, notify Linkforge with reasonable details. Linkforge will investigate and, as appropriate, correct the defect, provide a reasonable workaround or replacement, or provide a refund for the affected supply. This process does not limit any remedy you are entitled to choose under clause 12.1 or any termination right under clause 15.
12.4 Subject to clause 12.1 and any express commitment in the Order, Linkforge does not promise that the App will be uninterrupted or error-free, work with every Platform or third-party product, or meet a requirement that was not included in the agreed App Details. You remain responsible for assessing your requirements, without limiting any responsibility Linkforge has for advice or representations it makes.
12.5 Features described as beta, preview or evaluation may be incomplete or change before general release. Their stated limitations apply, but they do not remove rights that cannot lawfully be excluded.
13. Third-party claims and indemnities
13.1 Subject to clause 14, you indemnify Linkforge against reasonable losses, damages and legal costs arising from a third-party claim to the extent caused by your unlawful use of the App, material breach of these Terms, or supply of Customer Data or instructions that infringe that third party's rights. The indemnity does not apply to the extent the claim or loss was caused or contributed to by Linkforge's breach, negligence or wilful misconduct.
13.2 Subject to clause 14, Linkforge will defend and indemnify you against a third-party claim that your authorised use of the App infringes that third party's copyright or trade secret rights. This does not apply to the extent the claim arises from your data or instructions, an unauthorised modification, or a combination with another product that was not supplied, required or recommended by Linkforge and without which the claim would not arise.
13.3 A party seeking an indemnity must notify the other promptly, provide reasonable assistance at the indemnifying party's cost, and take reasonable steps to minimise loss. The indemnifying party may control the defence, but may not agree to a settlement that admits fault by the other party or imposes a non-monetary obligation on it without its consent, which must not be unreasonably withheld. A delay in notice reduces the indemnity only to the extent it materially prejudices the defence.
13.4 If an intellectual property claim affects the App, Linkforge may obtain the necessary rights, modify or replace the affected functionality without materially reducing it, or end the affected supply and refund prepaid Fees for the unused period. Other rights under clauses 12, 13 and 15 remain available.
14. Liability
14.1 Subject to clauses 12.1 and 14.4, each party's total aggregate liability arising from the affected App and related support under these Terms is limited to the greater of:
- the Fees paid or payable for that App and related support for the 12 months immediately preceding the event giving rise to the claim; and
- AUD $100.
For an App supplied under a perpetual licence, the one-off licence fee is included in this calculation even if it was paid more than 12 months before the event. This limit applies to claims under clause 13 as well as other claims under these Terms.
14.2 Subject to clauses 12.1 and 14.4, neither party is liable to the other for indirect or consequential loss, including lost profit, revenue, goodwill or business opportunity to the extent that loss is indirect or consequential. This does not exclude direct loss merely because it relates to data, a business interruption or the cost of remedying a failure.
14.3 Each party's liability is reduced to the extent the other party or its personnel caused or contributed to the loss or failed to take reasonable steps to minimise it.
14.4 The limits and exclusions in this clause do not apply to fraud or wilful misconduct, deliberate infringement of the other party's intellectual property rights or deliberate misuse of its Confidential Information, payment of Fees properly due, refunds expressly required under these Terms, or liability that cannot lawfully be limited or excluded.
15. Suspension, termination and discontinuation
15.1 Linkforge may suspend the affected App or functionality where reasonably necessary to address a material breach, a serious security threat, unlawful use, a legal requirement or an undisputed overdue payment. Suspension must be proportionate to the issue and limited to the affected services where reasonably practicable.
15.2 Except where immediate action is reasonably necessary for security, to prevent serious harm or to comply with law, Linkforge will give written notice of the reason and a reasonable opportunity to resolve it. For an undisputed overdue payment, Linkforge will give at least 14 days' notice before suspension. Linkforge will not suspend solely for an amount you genuinely dispute while you cooperate in resolving it and pay undisputed amounts. Access will be restored promptly once the reason for suspension has been resolved.
15.3 Either party may terminate the affected supply for a material breach that the other party does not remedy within 14 days after written notice. Immediate termination is available for a material breach that cannot be remedied, where continuing the arrangement would create serious harm or where required by law. The right must be exercised reasonably in light of the breach and its consequences.
15.4 You may end a subscription in accordance with clause 5. You may stop using a free App at any time. Ending a paid fixed term early for convenience does not itself create a refund right, subject to clauses 5.5 and 12.1.
15.5 Linkforge may discontinue an App, a hosted feature or ongoing support on reasonable written notice, normally at least 30 days. Where a legal requirement, serious security issue or third-party withdrawal makes that period impracticable, Linkforge will give as much notice as reasonably possible. If Linkforge cannot continue a material part of a paid supply during an agreed term, or materially reduces its functionality without your agreement, you may terminate the affected supply and receive a refund of prepaid Fees for the unused period. A replacement is an alternative only if you accept it. Discontinuing support alone does not terminate a perpetual licence to an already supplied version.
15.6 On termination or expiry, the affected licence ends and you must stop using the App, except for any continuing licence expressly granted in the Order. Fees already properly incurred remain payable. Confidentiality, intellectual property, accrued payment obligations and provisions intended to operate after termination continue to apply.
15.7 Termination does not automatically delete Customer Data from your Platform or third-party systems. Where Linkforge controls a hosted environment containing Customer Data, it will provide a reasonable opportunity to export that data using available functions before access ends, unless law or an urgent security issue prevents this. Return, deletion and retention are otherwise governed by clause 9 and the applicable App Details.
16. Disputes and governing law
16.1 The parties will first try to resolve a dispute in good faith by referring it to a senior representative of each party.
16.2 If the dispute remains unresolved after 20 business days, either party may propose mediation with an agreed mediator. Mediation may take place remotely or in Melbourne, Victoria, as agreed. This clause does not prevent either party from seeking urgent relief, recovering an undisputed debt, contacting a regulator or exercising a right to apply to a court or tribunal.
16.3 These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and courts that hear appeals from them, without limiting any mandatory right to bring a claim elsewhere or before a competent tribunal.
17. Changes to these Terms
17.1 Linkforge may update these Terms to reflect changes to the App, its commercial arrangements, technology, security requirements or law. An updated version will identify its effective date and be made available through the website, App, marketplace or other written notice.
17.2 For an existing customer, a change that materially disadvantages you will be notified at least 30 days before it takes effect, with an explanation of the change. If you do not accept it, you may terminate the affected supply before it takes effect without an early termination penalty and receive a refund of prepaid Fees for the unused period. Fee changes are also subject to clause 5.4.
17.3 A change required urgently by law or to address a serious security threat may take effect on shorter notice. Linkforge will explain the reason and give as much notice as practicable. If it materially reduces the paid supply available to you, the termination and refund rights in clause 15.5 apply.
17.4 Continued use after a notified change takes effect constitutes acceptance of that change, subject to the rights above and applicable law. Changes do not apply retrospectively to an existing claim or give permission for new data processing without satisfying clause 9.
18. General and contact details
18.1 Neither party may transfer its rights or obligations under these Terms without the other's consent, which must not be unreasonably withheld. Either party may transfer them as part of a genuine sale or restructure of the relevant business if the successor can perform the obligations, assumes them in writing and does not materially reduce the other party's rights. The transferring party must give notice. If the transfer materially disadvantages the other party, that party may end the affected supply; unused prepaid Fees will be refunded where you exercise that right.
18.2 Neither party is responsible for a delay or failure caused by an event beyond its reasonable control, to the extent it could not reasonably prevent or mitigate the effect. The affected party must notify the other and take reasonable steps to resume performance. This does not excuse payment for supply already received. If the event prevents a material part of the supply for more than 30 days, either party may end the affected supply and unused prepaid Fees will be refunded.
18.3 If a provision is invalid or unenforceable, it is severed to the extent necessary and the remaining provisions continue. A waiver must be in writing and applies only to the particular matter for which it is given.
18.4 These Terms and the applicable Order and additional terms identified in clause 1.5 form the agreement about the App. This does not exclude liability for a representation or promise where doing so would be unlawful.
18.5 Notices to Linkforge, including cancellation requests where Linkforge manages the subscription, may be sent to support@linkforge.com.au. Linkforge will send notices to your nominated business email or through the applicable marketplace notice process. A notice must identify the customer and affected App and clearly describe its purpose. An email notice is treated as received when it reaches the recipient's nominated email system without a delivery failure, or on the next business day if that occurs outside business hours. Marketplace notices follow the applicable marketplace process.
